Define the transfer and assess relief early
Establish whether shares, assets or part of the activities transfer and whether property stays behind. Consider the owner, successor, other shareholders and family. Tax relief can impose ownership and continuation conditions; it is not automatic for a family transfer.
Compare price with tax and actual cash receipts
Instalments, earn-outs, warranties and subordinated loans can change the amount ultimately available. Tax and cash receipts may occur at different times. Prepare explainable accounts, contracts, group relationships and tax positions for the buyer.
Plan the period between signing and completion
Agree which new obligations or distributions are allowed, which completion figures are required and who prepares them. Assign unfinished returns and annual accounts. Approvals, notarial acts, registrations and the administrative handover remain necessary after signature; the file must transfer with the business.
